Added a 2003 server to a 2000 domain

I am trying to add a 2003 server to a 2000 domain. i have ran
adprep/forestprep and domain prep on the 2000 dc and it completed fine. Now
when i run dcpromo on the 2003 server i get this message about half way
through;

The operation failed because: The Active Directory Installation Wizard was
unable to convert the computer account Server-01$ to a domain controller
account. "Access is denied."

And it wants me to type in a new user. I have tried every user and same
thing. Any suggestions.
