Does upgrade version qualify as a "Retail" version

I am wondering if I were to purchase the upgrade version of Office 2007 SBE
to install on a new computer that contains MS Works, will it also allow me to
install on a second, portable computer used by the same primary user.

I see in the EULA that "Retail" versions of office allow this, but I do not
know if the upgrade version is considered a "Retail" version of the software.
